Santa Barbara Estate Winery - Motivated Seller

This is an opportunity to acquire a state-of-the-art Pinot Noir winery. This winery has developed an innovative approach to selling its wines directly to the consumer. This has allowed it to become the premier winery in its area. It leverages the estate’s event capabilities to cross-market its wine club and tasting room. It has crafted its reputation by hosting some of the area’s finest events. Though its focus is on developing direct sales, it has also established a successful presence in many of California’s high-end restaurants.

Started in 2001 this estate winery currently sells around 3,000 cases per year. The estate vineyards have a capacity of 7,000 cases, while the winery is permitted for 25,000 cases as well as the creation of an additional event center including underground caves. There is also an option to acquire an additional 30 acres for planting and up the capacity to 12-13,000 cases of estate wines.

Due to a change in their personal situation the owners are no longer in the position to fully capitalize on this growth opportunity. Hence, they have decided to sell their operation.

The ideal acquirer is a buyer wishing to enter the high-end wine market or enhance a portfolio of ultra-premium wine brands with a Pinot Noir offering and/or a Santa Barbara County presence. If started from scratch, it would take a significant investment and 7 to 10 years to replicate this opportunity.

Key Features:

•	Pinot Noir Estate Winery & Vineyards - This 53+ acres estate is fully planted: half in Pinot Noir, the other half in Chardonnay, Syrah and a few other minor varietals.
•	Ultra-Premium Wines -The winery produces ultra-premium and luxury wines retailing between $18 and $35 per bottle with a few limited series selling for as high as $75. The wines have collected an impressive list of awards, accolades and media publicity.
•	Award-winning Tasting Room – Tasting room with a unique concept.
•	Unique Event Center - Multiple venues “in the vineyards” to organize weddings, corporate events, non-profit fund-raisers, concerts, parties or other events. Full catering capabilities.
•	Wine Club: Vibrant club with 700 members, loyalty built through exclusive events at the estate.
•	Prime Location - The winery is part of a major wine trail and conveniently located only a few miles away from a major highway. Perfect micro-climate for cool climate Pinot Noir.
•	Growing Business - Sales tripled over the past 3 years and earnings nearly doubled in 2008 vs. 2007.

Borgo Syrah

BORGO SYRAH Our Philosophy. As art collectors and wine enthusiasts alike, our objective in establishing Borgo Syrah was to foster a sense of pleasurable recreation, while ensuring an outcome that would honour the historical artistic heritage of the estate.

In designing the residences, we sought to remain in keeping with both the significance of the property and the context of the locality, paying tribute to what originated as land of the nobility and emerged later as a working farm. In our efforts, we took into consideration the essence of each structure – its original purpose and the fundamental composition in relation to the whole – and merged Tuscan sensibilities with contemporary aesthetics. Our secondary goal in this endeavor was to lend a genuine sense of investment in the ownership of the residences, as well as regards the winery, so that a common purpose in the goal and a sense of appreciation in the end result was derived from the undertaking.

Of equal importance is the surrounding countryside and our philosophy of living in harmony within it. Nature plays a large role in setting a vivid landscape, so painstaking care and attention is paid to the vineyards, as well as to the fruit, Acacia and Cedar trees, the olive groves, and the gardens. We nurture the terrain as much as we do the properties atop it because we recognize that not only is this an investment for all concerned, but because this effort consigns a degree of preservation. As such, every home includes a private garden, yet still encompasses the loveliness of the area in full, including the links to the winery and vineyards, and the spectacular view over the valley. Nature remains at the heart of our efforts at Borgo Syrah.

In merging the serene with everyday life, we recognize that it is possible to enjoy a wealth of comfort, in an area rich in history and culture, all the while protecting all that exists here. We have imbued the utmost level of quality, from the design and restoration of the residences to the gardens and surrounding landscape, and finally on to the labours of winemaking. This approach signifies our singular devotion to excellence and the many ways in which we can manifest our mark of distinction.

If anything, this is the one place in which to leave behind the concerns of everyday life. After a day amidst the gardens or engaged in activity, enjoy a glass of wine on the terrace with a “salut” to the good life. Renew yourself and discover all that is Borgo Syrah.

Winery Kalugerovo

URGENT SALE OF THE WINERY
DUE TO FINANCIAL DIFFICULTIES OF THE OWNER

EVALUATION OF THE PROPERTY AT 1 859 875 EUR
MADE BY AN INDEPENDENT APPRAISER

The property is situated on 47 150 m² (11.6 acres) of land, on which buildings with a total surface of 6 047 m² (1.5 acres) are built, including:

- a three-storied building representing a wine cellar of 4 158 m²
- a solid one-storied building representing a boiler-room (245 m²)
- a solid one-storied building representing a weighing machine (48 m²)
- a pump station (45 m²)
- a kiosk switch gear (40 m²)
- a waste-water treatment plant (103 m²).

The owner is in the process of creating the winery’s vineyards. 400 000 m² (98 acres) of land were purchased. The land will be sold together with the winery and is included in the price.

The total vessel volume of the winery is 4 651 000 liters. The main building contains 155 vessels built of steel/concrete (coated with a protective layer of “Amercoat”).

Inside the wine cellar, the temperature is naturally and constantly at 12°C (53.6°F), throughout the year.

The dimensions of the real estate allow additional constructions to be made. The buildings have been repaired and modernized through the years and are in a very good condition. However, additional financing is needed in order to improve the production machinery and equipment. The owner has worked out a project to extend and modernize the wine cellar and to organize rural tourism. The renovation plan of the winery has been made in order to apply for EU subsidies under the program SAPARD (Special accession program for agriculture and rural development). This program is expected to reopen for Bulgaria in September 2009. According to the information available for now, the application for subsidies under SAPARD has to be made before the end of 2009. The winery has obtained financing from the Bulgarian state fund “Zemedelie”.

In its actual state and without any renovation, the winery can produce 2-3,000,000 liters of un-bottled wine. If grape is purchased in October 2009, a first production of un-bottled wine can be started immediately.

The estate has a water pond of 1 200 m² and many decorative trees and green areas.

Location: village of Kalugerovo, District of Pazardzhik, Bulgaria / 1h South-East from Sofia. The winery is at 100 m from the main road. The village of Kalugerovo and the surrounding villages are important grape producers. The climate is moderate continental, very suitable for wine growing with humid springs, dry summers, moderate winters with snow and favourable even distribution of precipitation throughout the entire growth period of the vines.

An evaluation report of April 2008 made by an independent appraiser has estimated the winery at 1 859 875 EUR, without the land of 400 000 m². Due to urgent loan reimbursement, the owner wishes to sell the property very quickly, at 1 500 000 EUR only. The evaluation report contains full details of the estate.

Haight-Brown Vineyards

Haight Vineyard was the first to successfully plant the fine wine grape family Vitis Vinifera in Connecticut, and the first to establish a licensed winery in the state. The history of Haight Vineyard is one of courage and innovation; of succeeding where others had failed.

Haight Vineyard’s original winery, completed in 1978, was outgrown and replaced by the handsome new Tudor winery on Chestnut Hill in 1984, seven hundred yards away from its predecessor. The present day winery was designed by Dr. Richard Vine, winemaker, author, and now retired professor of enology at Purdue University.

It followed that Haight Vineyard would bring back to the State the first gold and silver medals won by a Connecticut winery in national competition at ‘Winery’s Unlimited’ in 1979.

After an initial period of skepticism of Connecticut’s viability as an originator of fine wines, Haight Vineyard was discovered by the residents of and visitors to Northwestern Connecticut in the early 1980’s. The salesroom began to fill and the inventory began to shrink. With Haight Vineyard growing many of the fine wine grapes such as Chardonnay, Riesling, and Merlot it was becoming clear that wine produced in Connecticut could compete on a quality basis with those from the rest of the world.

One of the hallmarks of the success of Haight Vineyard has been a pragmatic realization that the terroir which could support the growing of fine wine grapes in this area was few and far between. With the knowledge of the fact that growing fine wine grapes on large swaths of acreage and contiguous parcels of land is not a reality in cold country viticulture the vineyard adopted what proved to be one of their most defining practices, that of planting and growing these varietals on only the most desirable tracts of land, may of which are not ‘vineyard owned’. To this day many of Haight Vineyards grapes are grown on adjacent and nearby land that is either in Land Trust or being farmed in a symbiotic relationship under Act 490, which gives the land owner tax relief for having their excess acreage farmed by the vineyard.

CHATOM VINEYARD

Area History:
The gold came first…and then the wine. By the 1850s, the California “gold rush” had brought miners from around the world that filled the Sierra Foothills. Many came from Chile and France and other places where people drank wine. Vineyards were planted and wineries started to satisfy the cultural demand. The warm summers and cooler evenings in combination help the growers produce premium high quality grapes. This beautifully unique and historical area, with its good restaurants and spectacular wines has attracted affluent visitors from Los Angeles and the Bay Area. The Sierra Foothills, a very large area, extends across eight counties, from Nevada in the north to Mariposa in the south.

The quality of wines has made the Sierra Foothills one of the most interesting wine regions in California.

Description:
The Chatom Vineyard is situated in the picturesque Esmeralda Valley of Calaveras County in the Sierra Foothills of northern California.

The 744.22± acre ranch was established in the early 1800s and includes 64± acres of premium varietals proudly comprising Chardonnay, Semillon, Sauvignon Blanc, Cabernet Sauvignon, Merlot, Zinfandel, Syrah, Sangiovese and 5 Portuguese varietals. The vineyard was started in 1981. The remaining portion includes an additional 40± acres of open plantable land, a 20± acre farmstead and the balance being native hillside used for limited cattle grazing.

The ranch elevation ranges from 1,600± to 2,300± feet above sea level with steep to moderately undulating topography. The varietal soils range from clay and sandy loam to shallow rocky strata and have all proven to produce award winning grapes for Chatom Vineyards. Indian Creek runs through the property, providing frost protection water to the vineyard as well as stock water for cattle and lush habitat along it’s banks.

The farmstead is the site of the town formerly known as Esmeralda, with several of the original buildings still remaining. The building improvements consist of a 4,000± sq. ft. owner’s residence with a swimming pool, employees home, a mobile home, two equipment sheds, two barns, a shop and a garage/office. The main house was the site of a former post office, where Mark Twain posted some of his manuscripts. The ranch also has a number of historical Indian grinding rocks. It should be noted that portions of the subject property include mine claims from the gold rush days with mine shafts and antique mining equipment still remaining on site.

Water:
Irrigation water to the vineyard is provided by a pump and well, water diverted to two reservoirs and water from Indian Creek. The larger of the two reservoirs is capable of storing up to 21 acre feet of water, however it is permitted to store 14 acre feet. A second reservoir located in the higher elevation is typically not utilized. Water is also drawn from Indian Creek at two diversion points with a system that utilizes an 8 cylinder international diesel motor with a gear drive and a portable diesel powered lift pump and filtration station. The water supply is distributed to the vineyard blocks through a drip system.

Frost Protection:
Frost protection is provided to the vineyard by six wind machines that are strategically located throughout the vineyard blocks. A portion of the vineyard is improved with overhead sprinklers, which may also be used for frost protection.

Zoning:
The property is zoned “AP” (Agricultural Preserve Zone) on parcels 038-007-007 and 038-012-016 with a 50 acre minimum parcel size; and “U” (Unclassified) on the balance of the property.
